MAHLE implements take-over of majority share in BEHR Industry

Stuttgart, June 30th, 2010 – After the antitrust authorities agreed upon the acquisition of 60 percent of the shares in BEHR Industry GmbH & Co. KG by the MAHLE Group, the take-over is implemented today.

As already communicated, MAHLE GmbH and BEHR GmbH & Co. KG signed an agreement concerning the acquisition of 60 percent of the company shares in BEHR Industry GmbH & Co. KG by MAHLE GmbH on February 4, 2010. In the meantime, the competent antitrust authorities agreed to this acquisition, so that the take-over can be implemented today.

In 2009, the industry division of BEHR Group achieved sales of 178 million euros and currently employs approximately 950 employees in five locations in Germany and the USA. Its main products are cooling and air conditioning systems for railway and special vehicles, buses, ships, construction and agricultural machinery, the aviation industry, and stationary heavy duty engines for power generation. In future, BEHR Industry will operate under the name MAHLE Behr Industry.

MAHLE intends to integrate the company MAHLE Behr Industry into its existing industrial activities for large engines and industrial filtration. These activities will be bundled in a new business unit “MAHLE Industry” with an annual sales volume of approximately 500 million euros.

The MAHLE Group is one of the 30 largest companies in the automotive supply industry worldwide. With its two business units Engine Systems and Components and Filtration and Engine Peripherals, MAHLE ranks among the top three systems suppliers worldwide for piston systems, cylinder components, as well as valve train, air management, and liquid management systems. The newly formed MAHLE Industry business unit bundles the MAHLE Group's industrial activities. These include in future the areas of large engines, industrial filtration, as well as cooling and air-conditioning systems. In 2009, the MAHLE Group generated sales of approximately EUR 3.9 billion; around 43,000 employees work at over 100 production plants and eight research and development centers.
